Master Service Agreement — Fleet Care Program

1. Services & Scope

Precision Aviation Care ("Provider") agrees to provide professional mobile aircraft detailing services to Client's fleet of [N] aircraft registered under the tail numbers listed in Exhibit A ("Fleet"). Services shall be performed at Client's primary FBO location(s) unless otherwise agreed in writing.

Standard services covered under this MSA include, unless Client elects to exclude specific line items in Exhibit A:

Optional services (ceramic coating, paint correction, engine compartment cleaning) may be added at agreed rates. Ceramic coating timelines and pricing are scoped separately per aircraft and are not covered by the volume discount schedule in Section 3 unless explicitly noted.

2. Scheduling & Cadence

Provider and Client will jointly establish a rolling 90-day service schedule at the outset of each quarter. Client acknowledges that scheduling conflicts arising from unplanned aircraft repositioning, AOG status, or schedule changes require a minimum of 24 hours' notice for rescheduling without a trip-fee charge.

Fleet Care accounts receive priority access to Provider's same-day and next-morning availability slots. Provider will use reasonable efforts to accommodate urgent requests; however, same-day availability cannot be guaranteed for back-to-back aircraft requiring more than 4 hours total on-aircraft time.

Provider reserves the right to adjust scheduling during severe weather or in cases of force majeure. Rescheduled visits due to weather will not be counted against any service minimums in Exhibit A.

3. Pricing Schedule

Client's volume tier is [Tier 1 / Tier 2 / Tier 3], corresponding to a fleet of [N] aircraft. The following rates apply for the 12-month term of this agreement and will not be adjusted without 60 days' written notice and Client's written consent:

Invoices are issued within 48 hours of service completion. Net-30 payment terms. Client's preferred payment method: [ACH / Check / Card on file]. Late payments accrue interest at 1.5% per month after 30 days.

4. Insurance & Liability

Provider maintains the following minimum insurance coverage at all times during the term of this agreement, and will furnish certificates of insurance upon request:

Provider is responsible for damage to aircraft caused solely by Provider's negligence during service. Damage claims must be reported within 24 hours of service completion. Client acknowledges that pre-existing surface defects, oxidation, or delamination not caused by Provider's services are excluded from claims.

In no event shall Provider's liability exceed the total amount paid by Client in the 3 months preceding the claim.

5. Service Records

Provider will maintain a tail-specific service log for each aircraft in the Fleet, recording: date of service, service type performed, products applied, technician name(s), and any surface conditions noted. Records are retained for a minimum of 24 months and provided to Client upon written request within 5 business days.

6. Term & Termination

This agreement commences on the Effective Date and continues for an initial term of 12 months. It renews automatically for successive 12-month periods unless either party provides written notice of non-renewal at least 30 days before the renewal date.

Either party may terminate this agreement for convenience with 30 days' written notice after the initial 90-day onboarding period. Termination during the initial 90-day period requires 30 days' notice plus payment for all services completed through the termination effective date. There is no early-termination penalty after the initial 90 days.

Either party may terminate immediately for material breach if the breaching party fails to cure the breach within 10 business days of written notice.

7. General

  1. Governing Law. This agreement is governed by the laws of the State of Georgia. Any disputes shall be resolved by binding arbitration in Fulton County, GA under AAA Commercial Arbitration Rules.
  2. Entire Agreement. This MSA, together with Exhibit A, constitutes the entire agreement between the parties regarding Fleet Care services and supersedes all prior discussions or agreements.
  3. Amendments. Modifications require written agreement signed by both parties. Email constitutes written notice under this agreement.
  4. Assignment. Neither party may assign this agreement without the other's written consent, except in connection with a merger, acquisition, or sale of substantially all assets.
